Client working terms

These terms exist to make working together clear, fair, and straightforward. They outline how projects are scoped, how payment and ownership work, and what each party can expect during a project. They are not intended to be legal fine print, but a shared understanding that protects both sides and helps work run smoothly.
In short
- Work begins only once scope and fees are agreed in writing
- Payment is required on the terms stated, and late payment may pause or terminate work
- All work remains the property of Established Seventy Seven until paid in full
- Only final, approved work is licensed for use
- Unauthorised use of work, including unpaid or rejected concepts, is not permitted
Scope and Engagement
Every project is defined by a written scope, proposal, or email agreement. This will outline deliverables, timelines, review stages, and fees.
Requests that fall outside the agreed scope, including additional formats, new directions, or extended revisions, are treated as additional work and will be quoted and approved before proceeding.
Verbal requests or informal messages do not override the agreed scope unless confirmed in writing.
Fees, Deposits, and Payment
Fees are agreed in advance and confirmed in writing. Unless otherwise stated, projects may require an upfront deposit before work begins.
Invoices are payable within the timeframe stated on the invoice. If payment is not received by the due date:
- Work may be paused immediately
- Delivery of final assets may be withheld
- Usage rights are not granted
If payment remains outstanding beyond a reasonable period, Established Seventy Seven reserves the right to terminate the project and pursue recovery of fees, including reasonable costs incurred.
Continued non-payment may result in withdrawal of permission to use any delivered work, including work already in use.
Ownership and Licensing
All work, including concepts, drafts, and final deliverables, remains the intellectual property of Established Seventy Seven until full payment is received.
Once paid in full, clients are granted a licence to use the final approved work for the purpose agreed within the project scope.
This licence does not include:
- Unused or rejected concepts
- Exploratory or developmental work
- Working files, unless explicitly agreed
Any reuse, resale, adaptation, or extension beyond the original agreed purpose requires written permission.
Unauthorised Use and Misuse
Use of work without payment, or use of rejected or unpaid concepts, is considered unauthorised.
This includes, but is not limited to, publishing work before payment, adapting concepts internally, or commissioning third parties to complete or extend unpaid designs.
Unauthorised use may result in retrospective licensing fees or legal action.
Client Responsibilities
Clients agree to provide accurate content, materials, and feedback in a timely manner.
Clients confirm they have the right to use any materials they supply, including logos, imagery, copy, or data. Established Seventy Seven is not responsible for issues arising from client-supplied materials.
Delays in feedback, approvals, or content may impact timelines and delivery dates.
Revisions and Feedback
Projects include a defined number of revision rounds, as outlined in the project scope.
Revisions are intended to refine agreed directions. Requests that significantly alter direction, introduce new ideas, or revisit previously approved work may be treated as additional scope.
Clear, consolidated feedback is expected at each review stage.
Liability and Responsibility
Established Seventy Seven works to a high professional standard and in good faith.
Responsibility for how final work is used, implemented, or published rests with the client. This includes legal compliance, accessibility, and regulatory requirements relevant to the client’s industry.
Established Seventy Seven is not liable for indirect or consequential loss, including loss of revenue, data, or business opportunity arising from the use of delivered work.
Termination
Either party may terminate a project with written notice.
If a project is terminated, all work completed up to that point remains payable. Any usage rights are granted only once full payment has been received.
